4.Premium Users are obliged to comply with the Equivo App Terms of Use throughout the entire period of using the App, including while using the Premium Services. In particular, Premium Users are obliged to refrain from entering and storing unlawful data in the App and from transmitting or otherwise processing such data by means of the App.
§4. SUBJECT MATTER OF THE AGREEMENT
1.Access to and use of the basic functionalities of the App is free of charge. Access to and use of additional functionalities of the App is possible only for Users who have concluded an agreement for the provision of digital services, the main provisions of which are contained in these Premium Terms (hereinafter: the “Agreement”).
2.Under the Agreement, the Service Provider undertakes to provide the selected type of Premium Service by electronic means for the duration of the Subscription, and the User undertakes to pay the price for each billing period.
3.When concluding the Agreement, the User independently selects the type of Premium Service. The available types of Premium Services are:
3.1.Premium - a Premium Service whose functionalities and characteristics are set out in Annex No. 1 to these Premium Terms.
3.2.Max - a Premium Service whose functionalities and characteristics are set out in Annex No. 2 to these Premium Terms.
4.The Agreement is concluded for the billing period of the Subscription and is automatically extended for successive billing periods until the User cancels the Subscription. When concluding the Agreement, the User independently selects the billing period from among the following:
4.1.1 month (monthly Subscription).
4.2.1 year (annual Subscription).
5.Upon the first purchase of a Subscription, the User receives a Trial Period. The Trial Period is granted only once, for both types of Premium Services combined. If the User does not cancel the Subscription at least 24 hours before the end of the Trial Period, the App Marketplace will charge the fee for the first billing period. Before the purchase, the App provides information on the length of the Trial Period and the price charged after it ends.
6.A User who has not previously had a Subscription may use a Referral Code. In that case, instead of the Trial Period, the User receives the first month of a monthly Subscription of the Premium type free of charge, subject to the same cancellation rules. Each User may use a Referral Code only once.
7.The User may at any time change the type of Premium Service or the billing period on the Subscription screen in the App or in the settings of the App Marketplace. The change is settled in accordance with the rules of the App Marketplace.
§5. CONCLUSION OF THE AGREEMENT
1.The Agreement is concluded by means of the Subscription screen in the App and the purchase window of the App Marketplace. The sale Agreement is concluded upon the User confirming the purchase in the App Marketplace window (using a button indicating an obligation to pay, e.g. “Subscribe” or “Buy”) and the App receiving confirmation of the purchase from the App Marketplace.
2.The Subscription screen enables Users to independently select the type of Premium Service and the billing period; the User determines the payment method in the App Marketplace.
3.The total price of the Premium Service selected by the User is indicated on the Subscription screen in the App and in the purchase window of the App Marketplace, in the currency of the User's account in the App Marketplace. The price indicated is a gross price and includes the amounts of taxes, commissions, transaction fees and other costs that must be incurred in order to obtain access to the selected Premium Service. The gross price per billing period is indicated, and for an annual Subscription also its monthly equivalent, together with information on the Trial Period and the price charged after it ends.
4.Immediately before the Agreement is concluded, the Subscription screen and the purchase window of the App Marketplace display a confirmation of the User's choices, containing information on:
4.1.the type of the selected Premium Service and its main characteristics.
4.2.the gross price per billing period and the Trial Period, if applicable.
4.3.the automatic renewal of the Subscription and the method of cancelling it.
4.4.the means of communication between the Service Provider and the Premium User.
5.The document confirming the purchase is issued and sent to the User by the App Marketplace in accordance with its terms.
6.The User receives confirmation of the conclusion of the Agreement, covering the type of Premium Service, the billing period and the price, from the App Marketplace at the e-mail address assigned to the User's account in the App Marketplace. The content of these Premium Terms is available in the App (Subscription screen) and on the Website, also in pdf format, in a manner enabling it to be downloaded and recorded.
§6. PAYMENT
1.Payment for the Premium Services is collected by the App Marketplace from the payment method assigned to the User's account in the App Marketplace:
1.1.for a monthly Subscription - in advance for each month.
1.2.for an annual Subscription - in advance for the entire year.
2.The User may pay the price using a payment method of the User's choice from among the following:
2.1.where the App has been downloaded through the Google Play App Marketplace - payment is possible using the methods made available by Google Play, in particular: credit and debit cards (American Express, Mastercard and Visa), charging to the phone bill (this option is made available by the operators Orange, Play, Polkomtel/Plus and T-Mobile), Google Play balance and gift cards, and the Paysafecard, my paysafecard, PayPal and Blik services.
2.2.where the App has been downloaded through the Apple App Store App Marketplace - payment is possible using the methods made available by the App Store, in particular most credit and debit cards, charging to the phone bill (this option is made available by the operators Orange, Play, Polkomtel/Plus and T-Mobile), Apple Account balance (from an Apple Gift Card or added funds), and the Apple Pay and BLIK services.
3.Payment through the App Marketplaces is made on the terms set out in their terms and conditions. Before making a payment, the User may be required to read and accept the payment terms and conditions of the App Marketplace.
§7. SUBSCRIPTIONS
1.The Subscription is automatically renewed for a further billing period (a month or a year), and the App Marketplace charges the fee within 24 hours before the end of the current period, unless the User cancels the Subscription at least 24 hours before the end of that period.
2.The User may cancel the Subscription at any time in the account settings of the App Marketplace. The “Manage subscription” button on the Subscription screen in the App leads directly to those settings. Uninstalling or otherwise removing the App from the device does not cancel the Subscription. Deleting the Account in the App does not cancel the Subscription either.
3.After cancelling the Subscription, the User retains access to the Premium Services until the end of the paid billing period, and after cancellation during the Trial Period - until the end of the Trial Period, free of charge.
4.The provision of the Premium Services may be terminated before the end of the paid billing period in the following cases:
4.1.the Premium User withdraws from the Agreement on the basis of rights conferred on the Premium User by law. In such a case, the Service Provider ceases to provide the Premium Services and to charge payments on the day on which it received the binding notice of withdrawal from the Agreement.
4.2.a change in the price or in the material terms of provision of the Premium Service used by the Premium User. The Service Provider notifies Premium Users of a change in the prices or terms of provision of the Premium Services by an e-mail message sent to the e-mail address indicated in the User's Account in the App, specifying the scope of the changes, the date of their entry into force, and the manner of and time limit for permissible termination of the Agreement. If the User submits a notice of termination of the Agreement within that time limit, the Service Provider ceases to provide the Premium Services and to charge payments upon receipt of the notice of termination of the Agreement. If the User does not submit such a notice within the time limit indicated, the Agreement continues in force, with the changed prices or terms, for subsequent billing periods. In addition, a change in the Subscription price takes place in accordance with the rules of the App Marketplace, which informs the User of the price increase and - where its rules so require - asks the User to accept it.
4.3.deletion of the Premium User's Account by the Service Provider as a consequence of a breach of the rules for using the App set out in the Terms of Use. In such a case, the Service Provider ceases to provide the Premium Services and to charge payments on the day the Account is deleted.
5.In the cases referred to in the preceding paragraph, the Service Provider shall, without undue delay and in any event no later than within 14 days, refund to the User the payment collected in the part corresponding to the number of days for which the provision of the Premium Services was discontinued. The refund is made using the same means of payment as used by the User, unless the User indicates another method of refund which does not involve any additional costs. If the rules of the App Marketplace do not allow the Service Provider to make the refund through it, the Service Provider makes the refund by bank transfer to the account indicated by the User.
6.The account or payment instrument from which payments for the Premium Services under the Subscription are collected may be changed through the App Marketplace.
7.If it proves impossible to collect payment for a subsequent billing period, the App Marketplace may retry collecting it for the period specified in its rules. During the grace period provided by the App Marketplace (if the App Marketplace applies one), the User retains access to the Premium Services. If the payment is not collected, the Subscription expires and the Account is moved to the free version of the App.
8.After the Subscription expires or is cancelled, including after a Trial Period without payment, and also after the expiry of Premium Services made available free of charge by the Service Provider, the User's data are not deleted. Horse profiles remain active up to the number permitted in the free version of the App, as selected by the User (until a selection is made, those added earliest); the selection may be changed within 14 days. The remaining horse profiles are moved to “Closed profiles”, where they can be viewed and deleted. The User may not upload new files beyond the data storage limit of the free version. Sharing of the User's horse profiles and Sharing of other Users' horse profiles beyond the limit of the free version is suspended; if the Subscription is renewed within 14 days, Sharing is restored automatically, otherwise it ends. Pending invitations and transfers of horse profiles are cancelled. After the Subscription is renewed, the User may restore closed horse profiles within the limit of the selected type of Premium Service.
§8. COMMENCEMENT OF THE PROVISION OF PREMIUM SERVICES
1.The Premium Services are made available in the Premium User's Account without undue delay after the conclusion of the Agreement and the App's receipt of confirmation of the purchase from the App Marketplace. By concluding the Agreement, the Consumer consents to the Service Provider performing its obligation by making the Premium Service available before the expiry of the period for withdrawal from the Agreement.
2.In some cases, the time taken to make the Premium Services available may be extended; however, it may not exceed 48 hours from confirmation of the purchase by the App Marketplace. If the Premium Services have not been made available, the User may use the “Restore purchases” button on the Subscription screen.
3.If the Service Provider has not made the Premium Service available within the time limit specified in the preceding paragraph, the Consumer should call upon it to do so by sending an e-mail message to the address designated for submitting complaints. If the Service Provider does not make the Premium Service available without undue delay after being called upon to do so, or within an additional time limit expressly agreed by the parties, the Consumer may withdraw from the Agreement.
4.The Consumer may withdraw from the Agreement without calling upon the Service Provider to make the Premium Service available if:
4.1.it is clear from the Service Provider's statement or from the circumstances that it will not make the Premium Services available.
4.2.the Consumer and the Service Provider have agreed, or it is clear from the circumstances of the conclusion of the Agreement, that a specific time limit for making the Premium Service available was of essential importance to the Consumer, and the Service Provider did not make it available within that time limit.
§9. RIGHT OF WITHDRAWAL FROM THE AGREEMENT
1.Where the Premium Services have been purchased through the App Marketplaces, the right of withdrawal from the Agreement should be exercised in accordance with the terms and conditions of those App Marketplaces. To the extent not governed by the terms and conditions of the App Marketplaces, the provisions of this section shall apply.
2.The Consumer may withdraw from the Agreement within 14 days of its conclusion without giving any reason and without incurring any costs. Cancelling the Subscription during the Trial Period does not involve any charges.
3.The Consumer is obliged to pay for the Premium Services provided until the moment of withdrawal from the Agreement. The amount payable is calculated in proportion to the number of days on which the Premium Service was provided. The Service Provider is entitled to reduce the amount of the payment refunded to the User by the amount due for the Premium Services provided until the moment of withdrawal from the Agreement.
4.The Consumer may withdraw from the Agreement using the refund request function in the App Marketplace (App Store: reportaproblem.apple.com, Google Play: order history in the Google Play account settings) or by sending a notice of withdrawal from the Agreement by e-mail to the address designated for submitting complaints, via the contact form on the Website, or by traditional post or courier to the address of the Service Provider's registered office. The Consumer may submit the notice of withdrawal from the Agreement using the form which constitutes Annex No. 3 to these Premium Terms.
5.The Service Provider sends the Consumer confirmation of receipt of the notice of withdrawal from the Agreement on a durable medium without undue delay after its delivery.
6.The Service Provider refunds the payment made by the Consumer without undue delay and no later than within 14 days from the date of receipt of the notice of withdrawal from the Agreement. The refund is made using the same means of payment as used by the User, unless the User indicates another method of refund which does not involve any additional costs. The refund is made through the App Marketplace and, where its rules do not allow this - by bank transfer to the account indicated by the Consumer.
7.The Service Provider disables the User's access to the Premium Services as of the date of withdrawal from the Agreement. The data and content entered by the User are not deleted - the Account is moved to the free version of the App on the terms set out in §7.
8.After withdrawing from the Agreement, the User may use the free functionalities of the App.
§10. LIABILITY FOR THE CONFORMITY OF DIGITAL SERVICES WITH THE AGREEMENT
1.The Premium Service conforms with the Agreement if:
1.1.it has been made available within the time limit specified in §8 of the Premium Terms.
1.2.its description, type, quantity, quality, completeness, functionality, compatibility, interoperability and the availability of technical support and updates are consistent with the information made available on the Subscription screen or in the Terms of Use, with the characteristics that the Consumer may reasonably expect, taking into account the nature of the Premium Services, and with public statements made by the Service Provider or persons acting on its behalf, in particular in advertising.
1.3.it is consistent with the previews made available to the Consumer by the Service Provider before the conclusion of the Agreement.
2.The Service Provider is liable for any lack of conformity of the Premium Service with the Agreement which occurred or became apparent at the time when, under the Agreement, it was or was to be supplied.
3.If the Premium Services do not conform with the Agreement, a Premium User who is a Consumer may:
3.1.call upon the Service Provider to bring the Premium Services into conformity with the Agreement.
3.2.submit a notice of price reduction.
3.3.submit a notice of withdrawal from the Agreement.
4.If the User calls upon the Service Provider to bring the Premium Services into conformity with the Agreement, the Service Provider shall do so within a reasonable time from the moment at which it was informed of the lack of conformity with the Agreement and without undue inconvenience to the User, taking into account the nature of the Premium Services and the purpose for which they are used. The costs of bringing the digital services into conformity with the Agreement are borne by the Service Provider. The Service Provider may refuse to bring the Premium Services into conformity with the Agreement if this is impossible or would require excessive costs. In such a case, the User is entitled to withdraw from the Agreement.
5.The Consumer may submit a notice of price reduction or of withdrawal from the Agreement where:
5.1.bringing the Premium Services into conformity with the Agreement is impossible or requires excessive costs.
5.2.the Service Provider has not brought the Premium Service into conformity with the Agreement despite having been called upon to do so by the Consumer.
5.3.the lack of conformity of the Premium Services persists even though the Service Provider has attempted to bring them into conformity with the Agreement.
5.4.the lack of conformity of the Premium Services with the Agreement is so significant that it justifies a price reduction or withdrawal from the Agreement without first calling upon the Service Provider to remedy it.
5.5.it is clear from the Service Provider's statement or from the circumstances that it will not bring the Premium Services into conformity with the Agreement within a reasonable time or without undue inconvenience to the Consumer.
5.6.the Service Provider has made changes which materially and adversely affect the Consumer's access to or use of the Premium Services.
6.The reduced price must bear the same proportion to the price under the Agreement as the value of the Premium Services not in conformity with the Agreement bears to the value of Premium Services in conformity with it. When reducing the price, the period during which the Premium Services remained not in conformity with the Agreement must be taken into account.
7.The right of withdrawal from the Agreement does not apply where:
7.1.the Consumer was expressly informed, at the latest at the time of conclusion of the Agreement, that a specific characteristic of the Premium Service deviates from the requirements of conformity with the Agreement, and expressly and separately accepted the absence of that characteristic of the Premium Service.
7.2.the Consumer fails to install, within a reasonable time, updates supplied by the Service Provider, which informed the Consumer of the update and of the consequences of failing to install it, and the failure to install or the incorrect installation of the update did not result from shortcomings in the installation instructions supplied by the Service Provider.
7.3.the lack of conformity of the Premium Service with the Agreement is immaterial.
8.The Consumer may exercise the Consumer's rights relating to the lack of conformity of the Premium Services with the Agreement by sending the Service Provider a message by e-mail to the address designated for submitting complaints, via the contact form on the Website, or by traditional post or courier to the address of the Service Provider's registered office. The refund is made without undue delay and no later than within 14 days from the date of receipt of the notice of withdrawal from the Agreement or of price reduction. The refund is made using the same means of payment as used by the User, unless the User indicates another method of refund which does not involve any additional costs.
§11. PERFORMANCE OF THE AGREEMENT
1.Premium Users may contact the Service Provider by e-mail at kontakt@equivo.pl, via the contact form on the Website, and by telephone at +48 579 946 999 (call charged at the operator's rates).
2.The Service Provider informs the Consumer of updates, including security updates, necessary to maintain the conformity of the Premium Services with the Agreement, and supplies them to the Consumer for the duration of the supply of the Premium Services.
3.The terms of processing of personal data in connection with the provision of the Premium Services are set out in a separate document entitled the Equivo App Privacy Policy.
4.For justified reasons, the provision of the Premium Service may be subject to temporary interruptions, which will not be treated as a lack of conformity of the Premium Services with the Agreement. Justified reasons include:
4.1.reasons attributable to the Service Provider, in particular those in the nature of technical downtime related to the maintenance and development of the App. Interruptions in the provision of the Services for these reasons will not be treated as a lack of conformity with the Agreement if they last no longer than 1 hour on each occasion and no longer than 1 day in total per month.
4.2.reasons beyond the Service Provider's control, in particular those related to failures or security breaches of the App. For these reasons, interruptions in the provision of the Services lasting no longer than 48 hours on each occasion will not be treated as not in conformity with the Agreement.
5.In the event of interruptions in the provision of the Premium Services lasting longer than specified in the preceding paragraph, the Service Provider extends, free of charge, the period of access to the Premium Services by the duration of the interruption in the provision of the Premium Services.
6.The Service Provider does not use systems for individually adjusting prices on the basis of automated decision-making, nor does it apply a code of good practice. The Service Provider does not collect deposits or other financial guarantees in connection with the sale Agreement.
§12. COMPLAINTS
1.Premium Users may submit complaints concerning the provision of the Premium Services via the contact form on the Website or by sending an e-mail message to kontakt@equivo.pl. The complaint should specify the User's name, the e-mail address provided in the Account in the App and the subject matter of the complaint. Complaints concerning payments and refunds may also be submitted directly to the App Marketplace in which the purchase was made.
2.The Service Provider accepts and examines complaints concerning the Premium Services and provides information on their outcome within 14 days of their receipt.
§13. CHANGES TO THE TERMS OF PROVISION OF SERVICES
1.The Service Provider may make changes to the Premium Services that are not necessary to maintain their conformity with the Agreement in the following cases:
1.1.changes related to the modernisation and development of the App, in particular through the addition of new features and functionalities, and changes to the interface, appearance and graphic elements.
1.2.changes necessary to ensure compliance with the law, the terms of the App Marketplaces, the terms of providers of services necessary for the functioning of the App and other similar requirements.
2.The Service Provider may change the prices of the Premium Services by informing Premium Users using a Subscription thereof by e-mail message.
3.In the event of a change in prices, and also if a change in the App materially and adversely affects the Consumer's access to or use of the Premium Services, the Service Provider will inform the Consumer reasonably in advance, by means of a document on a durable medium sent by e-mail message to the address indicated in the Premium User's Account, of the characteristics and date of making those changes and of the right to terminate the Agreement without notice within 30 days of the date on which the change is made.
4.For important reasons, the Service Provider may introduce changes to these Premium Terms, of which it informs Premium Users using a Subscription by sending them an e-mail message, and also by posting the updated version on the Website. If the changes to these Premium Terms materially and adversely affect the rights of Premium Users, they are entitled to terminate the Agreement in accordance with §13(3).
§14. FINAL PROVISIONS
1.In matters not governed herein, the provisions of the Polish Consumer Rights Act of 30 May 2014 and the provisions of the Equivo App Terms of Use shall apply.
2.Users may use out-of-court dispute resolution methods, in particular by applying to the district (municipal) consumer ombudsman competent for the Consumer's place of residence or to the provincial inspector of the Trade Inspection. The procedure for out-of-court dispute resolution is governed by the provisions of the Polish Act of 23 September 2016 on Out-of-Court Resolution of Consumer Disputes
3.In the event of a court dispute with a Consumer, the court having jurisdiction will be the court for the Consumer's place of residence. In the event of a court dispute with a person who is not a Consumer, the court having jurisdiction will be the court for the place of the Service Provider's registered office.
